End-User License Agreement

Congratulations on your purchase of perCalcium Drum Loops ("The Work"), a premium sample pack for music production! We hope you enjoy this collection and use it to its maximum creative potential. Please note the following terms apply:

1. OWNERSHIP AND LICENSE GRANT

The sounds and related content contained within The Work remain the property of their creator, Pro Audio Elements ("Licensor"), and are licensed to you as the original end-user ("Licensee") for use subject to the provisions outlined below. All rights not expressly granted herein are reserved exclusively by the Licensor.

2. PERMITTED USES

The Licensee MAY use the content included in The Work in:
1. Music productions (commercial or non-commercial).
2. Films, video productions, and multimedia presentations.
3. Video games, advertisements, and radio/television broadcasts.
4. Live performances, public events, and other reasonable purposes within the context of musical compositions.

3. PROHIBITED USES
The Licensee MAY NOT:
1. Use the content in any context for a sample library or similar product sold, relicensed, or otherwise distributed to third parties.
2. Redistribute, resell, share, lend, lease, or transfer the content, either in its original form or as modifications, to any third party.
3. Upload the content to servers, file-sharing websites, or any unauthorized distribution platform.
4. Use the content in any manner competitive with Pro Audio Elements’ business or products.

This license is non-transferable and is granted only to the Licensee.

4. WARRANTIES AND LIABILITY

To the fullest extent permitted under applicable law, all Pro Audio Elements products and services are provided "as is" and "as available," without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Without limiting the foregoing, Pro Audio Elements makes no guarantees that:

1. The audio files within The Work will meet your specific creative or technical
requirements.
2. The files will be free of errors, defects, or inconsistencies, particularly when used in unique software or hardware configurations.
3. The files will operate flawlessly in every digital audio workstation (DAW) or hardware sampler.

By using The Work, you agree that Pro Audio Elements shall not be liable for:

1. Any direct, indirect, incidental, or consequential damages resulting from the use or inability to use The Work, including but not limited to project delays, loss of income, or any other damages related to your creative or commercial projects.
2. Any damage to your hardware, software, or data that may result from downloading, using, or modifying the audio files.

It is your responsibility to ensure compatibility with your system prior to purchase and to back up any projects or data where The Work is implemented.

5. LICENSE ACTIVATION AND PAYMENT

This license is granted to the Licensee only upon full payment for The Work via our official online store, https://www.proaudioelements.com. The product is not available legally in any other location. Any copies acquired outside this authorized channel are not valid and may constitute a breach of copyright law.

6. INTELLECTUAL PROPERTY

The content of The Work, including but not limited to presets, wavetables, promotional graphics, and branding materials, are the sole property of Pro Audio Elements and are protected by copyright and other intellectual property laws.

7. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of Brazil.
Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Navegantes, Santa Catarina (Brazil).

By purchasing and downloading perCalcium Drum Loops, you acknowledge that you have read, understood, and agreed to be bound by the terms of this End-User License Agreement.
